This Digital Distribution Agreement ("Agreement") is a binding agreement between you ("Artist" or "You") and Secretnote LLP ("Company," "We," or "Us"). By uploading your music to our platform, you agree to these terms.

1. Grant of Rights

You grant Secretnote LLP the non-exclusive right to sell, copy, distribute, and otherwise exploit the audio recordings and underlying musical compositions (the "Content") you submit to us, across all global digital service providers (DSPs) such as Spotify, Apple Music, YouTube, and others.

You retain 100% ownership of your copyrights. We act solely as your distributor and administrator.

2. Royalties & Payments

We will collect royalties on your behalf and pay you your designated percentage of the net receipts, as defined in your chosen pricing tier. Payments are calculated monthly and will be available for withdrawal via your user dashboard once the minimum threshold is met.

3. Term & Termination

This Agreement begins upon your acceptance and continues until terminated by either party. You may issue a takedown notice for any of your Content at any time. We will process takedown requests with DSPs promptly, typically within 5-10 business days, though individual platform removal times may vary.

4. Warranties & Representations

By submitting Content, you represent and warrant that:

You own or control 100% of the rights to the Content.
The Content does not infringe on the intellectual property, copyright, or privacy rights of any third party.
The Content does not contain un-cleared samples.

5. Limitation of Liability

Secretnote LLP will not be liable for any indirect, incidental, or consequential damages arising out of this Agreement or the use of our services. Our total liability shall not exceed the total amount of royalties paid to you in the twelve (12) months preceding the claim.
